End User License Agreement

1. Acceptance of Terms

This End User License Agreement (the "Agreement") is a legally binding contract between you (the "Licensee") and WLOADCTL (the "Licensor") governing your use of the WLOADCTL enterprise-level workload automation and scheduling software, including related binaries, programs, interfaces, documentation, updates, and official services (collectively, the "Software").

By downloading, installing, accessing, or using the Software, you confirm that you have read, understood, and agreed to all terms and conditions in this Agreement. If you do not accept these terms, you are not authorized to download, install, or use the Software.

• This Agreement applies to individual, enterprise, institutional, and other authorized users of the Software.
• Your act of downloading, installing, operating, or retaining the Software constitutes acceptance of this Agreement.
• We may update this Agreement at any time, and the updated terms take effect upon publication on our official website.

2. Intellectual Property & Copyright Ownership

All intellectual property rights in the Software, including software copyright, trademark rights, patent rights, trade secrets, source code, binaries, interface designs, and documentation, are exclusively owned by WLOADCTL. No ownership rights are transferred to you under this Agreement.

• All software versions, modules, algorithm logic, architecture, and updates remain protected by applicable intellectual property laws.
• You receive only a limited, non-exclusive, non-transferable right to use the Software within the official license scope.
• All trademarks, logos, brand names, and service marks displayed in the Software or official channels remain the exclusive property of WLOADCTL.

3. Licensed Usage Scope

Authorized users may use the Software only for internal business operation, management, and scheduling within the scope of the purchased or officially authorized license.

• The license is non-transferable, non-sublicensable, and non-leasable without prior written approval from WLOADCTL.
• The authorized scope may include limits on user quantity, node quantity, job scheduling quantity, service term, and functional edition.
• Free trial users may use the Software only for personal or internal evaluation and may not use it for commercial or public service purposes during the trial period.

4. Prohibited Actions

You expressly agree not to engage in prohibited conduct involving the Software. Any violation will be treated as a serious breach of this Agreement.

• Reverse engineering, decompiling, disassembling, decoding, cracking, or attempting to discover or modify the source code, core logic, or algorithm rules.
• Bypassing, tampering with, shielding, or destroying license verification, encryption, or copyright identification mechanisms.
• Modifying, deleting, adding, rewriting, or conducting secondary development of the Software without written authorization.
• Repackaging, redistributing, renting, leasing, selling, reselling, or otherwise commercially exploiting the Software.
• Embedding, integrating, or bundling the Software into third-party commercial products, services, or solutions for distribution.
• Removing, modifying, shielding, or covering any copyright statements, trademark logos, official identifiers, or proprietary prompts.
• Using cracked, modified, or unauthorized third-party versions of the Software, or assisting others in such activities.

5. License Termination

This license authorization automatically terminates when the official authorization period expires or when you permanently stop using the Software.

• We may immediately terminate your license without prior notice if you violate any prohibited clause of this Agreement.
• After termination, you must immediately stop all use of the Software and completely uninstall and delete all copies and related files stored in your environment.
• We reserve the right to pursue legal liability and compensation for losses caused by any breach of this Agreement.

6. Disclaimers of Warranty

The Software is provided on an "as is" and "as available" basis. We make no express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

• We do not warrant that the Software will operate uninterrupted, error-free, fully secure, or meet all business customization requirements.
• Trial, free, and beta versions are provided for evaluation only and may contain unstable functionality and potential risks.
• We are not responsible for business interruption, data deviation, or system abnormality caused by unauthorized modification, improper operation, third-party interference, or non-compliant use.

7. Limitation of Liability

To the maximum extent permitted by applicable law, WLOADCTL shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, goodwill, or third-party claims.

• Our total liability for all disputes and claims related to the Software will not exceed the total license fees you paid during the valid authorization period.
• You are independently responsible for legal liabilities and economic losses arising from your violation of this Agreement.
